Terms and Conditions

Program Overview
The ServiceChannel Referral Program (the “Referral Program” or the “Program”) is offered by ServiceChannel.com, Inc. (“We”, “ServiceChannel” or “The Company”) and provides the opportunity to qualified advocates (“ Advocates” or “You”) to refer new customer prospects (“Referrals”) to ServiceChannel and receive compensation based on the engagement progress between the Referrals and ServiceChannel.

Binding Agreement
By participating in the Program, you are bound by these Terms and Conditions (“Terms”) and indicate your agreement to them. All of the Company's decisions are final and binding.

Program Details
ServiceChannel will award (the “Reward”) any Eligible Advocate (as defined below) with monetary compensation or a ServiceChannel account credit for the Advocate’s company who is a current ServiceChannel customer who refers an Eligible New Customer (as defined below) in compliance with these Referral Program Rules (the “Rules”). Rewards to Advocates will be calculated based on the engagement progress between ServiceChannel and Referrals (representing their associated companies): 1) the Eligible Advocate will be eligible for a five hundred dollar [$500] reward after the Referral attends a demo meeting with the ServiceChannel sales team; 2) the Eligible Advocate will be eligible for an additional two thousand and five hundred dollar [$2,500] reward after Referral company signs a service agreement with ServiceChannel and becomes a ServiceChannel subscribed customer (a “New Customer”). For clarity, this does not include a subscribed service provider.

If Referral’s company becomes a New Customer, the Referral’s company will receive a 20% discount on their first [1] year subscription of ServiceChannel’s SaaS service. For clarity, the discount does not apply to ServiceChannel’s professional services.

Definition of an Eligible Advocate (“Referrer”)
To qualify as an “Eligible Advocate”, you must be an individual who is 18 years of age or older and: (1) a legal resident of Canada, United States, District of Columbia, or a US territory including Puerto Rico; (2) whose employer is a ServiceChannel customer (subscribed service provider or subscribed service customer) in good standing at the time of the referral; (3) your employer’s policies permit your participation in the Referral Program and/or you have received written consent from your employer to participate; and (4) whose employer is not a government entity (e.g., department, agency, facility, public university etc.). Additionally, to qualified as an Eligible Advocate, in addition to submitting a Referral, you agree to (a) permit ServiceChannel to send an Referral Program invitation email to the submitted Referral/s on behalf of the Advocate; (b) upon request from ServiceChannel, make an email introduction between ServiceChannel and potential Referrals and/or facilitate face-to-face or virtual meetings between ServiceChannel and potential Referrals, and (c) upon request, facilitate product demonstrations or introductory meetings between ServiceChannel and potential Referrals.

Participation in this Referral Program is by invitation only and Eligible Advocate is not transferrable. Advocates’ (including non-invited Advocates) eligibility is subject to ServiceChannel’s final determination.

Definition of an Eligible Referral (“Referees”)
An “Eligible Referral” is an individual who is a director or higher-level executive in Facility Management, Property Administration, Procurement, Strategic Sourcing, Finance, Store Operations, Real Estate, or similar functions with a business that (1) has a minimum 40 locations; (2) is not currently, or has not previously been, a ServiceChannel customer; (3) is not already in active communication with ServiceChannel; (4) has not already been previously referred to ServiceChannel by the same or a different Advocate; (5) has not previously received a demo of the ServiceChannel SaaS service; (6) is not a government entity (e.g., department, agency, facility, public university etc.) ; (7) is not a healthcare provider that submits cost reports to the Medicare, Medicaid or any other public healthcare program; and (8) does not subscribe to ServiceChannel outside the parameters of the Referral Program.

Referral Submission Limits
Each Eligible Advocate may submit up to 10 Referrals. Additional referral submissions are subject to ServiceChannel approval.  

How to Earn Rewards, Referral Status and Reward Notification
Advocates will need to submit the Advocate and Referral information directly into the form provided on the Referral Program Website. Within 5 business days Advocate will be notified about their Referral’s eligibility. Advocates can check the status of their referrals on the Program Website and will receive reward notifications based on the engagement progress between the Referrals (representing their associated businesses/companies) and ServiceChannel as described above.

Referral Program Duration & Expiration
Referrals are considered active upon submission and shall expire if there is no communication or engagement between Referrals and ServiceChannel within one year.

Reward Issuance
Unless otherwise stated, the Reward will be issued in US or Canadian Dollars to Eligible Advocates in the form of an electronic “Tango Card” or a donation to Eligible Advocate’s choice of charity organization/s listed by Tango’s reward page, or a ServiceChannel account/service credit applied to Eligible Advocate’s business/company. Rewards are subject to verification and the issuer’s terms and conditions. Rewards are not transferable and may not be auctioned, traded, bartered, or sold. Rewards are subject to verification. The Company may delay a Reward for the purposes of investigation. The Company may also refuse to verify and process any transaction for any reason.

If Eligible Advocate elects the Tango Card, Eligible Advocate will get an e-mail from noreply@tangocard.com. Note, the maximum amount of each Tango Card is $1,000.00; Eligible Advocate can collect multiple Tango Cards. You do not need to have a Tango Account to redeem your rewards, but you can create one if you'd like to save up your rewards and cash out later or if you don't want to spend all of your Tango Card value at one time.

Rewards will be made payable to an individual person OR may be remitted to a business which is the Advocate’s employer/business as a ServiceChannel account credit. If the Reward is not redeemed within 6 months of notification, the Reward shall be deemed forfeited. If the Eligible Advocate can no longer be reached by the Company, all Rewards associated with this Advocate shall be deemed forfeited.

In any case, Rewards are considered taxable income and are subject to local, state, and federal taxes. If the Eligible Advocate collects the Reward for more than USD $600 cumulatively in the calendar year from ServiceChannel, a 1099 tax form will be generated and mailed (or emailed) by ServiceChannel to the Eligible Advocate for tax reporting purposes by January of the following calendar year. ServiceChannel recommends that you keep all statements and documents for record keeping purposes.

The Program is valid only in the United States and Canada and cannot be combined with any other offers. ServiceChannel reserves the right to add, modify, and/or delete any Rewards and/or requirements to receive any Rewards. ServiceChannel decisions with respect to all aspects of the Referral Program are final and binding.

Rewards will be credited within sixty (60) days of when the Eligible Referral’s company signs up to become a New Customer.

Release
By participating in the Referral Program, you agree to release, discharge, indemnify, and hold harmless ServiceChannel, its parent, subsidiaries, affiliates, retailers, and advertising and promotion agencies, and all of their respective officers, directors, shareholders, employees and agents (collectively, “Released Parties”) from any liability or damages which may arise out of participation in the Referral Program or out of the acceptance, use, misuse or possession of any Reward or products attained through this Referral Program.

Released Parties are not responsible for late, lost, incomplete, delayed, inaccurate, garbled, undelivered, misdirected referrals or Rewards or other errors or problems of any kind relating to or in connection with the Referral Program, whether printing, typographical, technical, computer, network, human, mechanical, electronic or otherwise, including, without limitation, errors or problems which may occur in connection with the administration of the Referral Program, the verification of Eligible Referrals, the tracking of Eligible Referrals, the announcement of the Rewards or in any Referral Program-related materials. Released Parties are not responsible for injury or damage to any participant’s or other person’s computer related to or resulting from participating in this Referral Program or downloading materials from or use of the Referral Website or ServiceChannel.com.

General Conditions
You agree NOT to: (a) bind, create any obligation (express or implied) or negotiate prices or other terms and conditions on ServiceChannel’s behalf (nor represent to any person, including any prospective ServiceChannel customer or New Customer , that you have authority to do so; or (b) make any claims regarding the ServiceChannel services beyond those made by ServiceChannel in the documentation or other information relating to ServiceChannel services available at https://servicechannel.com. Moreover, you also agree that any promotion methods that you use to promote ServiceChannel products and services to prospective ServiceChannel customers shall be in accordance with all applicable laws and regulations. All applicable federal, state, and local laws and regulations apply. ServiceChannel reserves the right at any time to modify, suspend or cancel the Referral Program or the Rules at any time. Any changes ServiceChannel makes will be effective immediately on notice, which it may give either by posting on the Referral Website, ServiceChannel.com or via e-mail. Your participation in the Referral Program after such notice will be deemed acceptance of such changes. You should review these Rules periodically to ensure familiarity with the most current version. You will always be able to tell when the version was last updated by checking the "Last Revised" date at the top of these Rules. All questions or disputes regarding the Referral Program, including without limitation, those involving eligibility, participation, fraud and abuse will be resolved by ServiceChannel. ServiceChannel also reserves the right to disqualify and deregister any Advocate in the event that ServiceChannel determines that Advocate has violated any of these Rules (including without limitation, by tampering with or abusing any aspect of this Referral Program or by acting in a disruptive manner), which determination shall be final. In the event of such disqualification or deregistration, Advocate forfeits the rights to receive, and ServiceChannel is not obligated to honor or pay any Rewards which vest on or after the date of such effective disqualification or deregistration. Your participation in the Referral Program constitutes permission for ServiceChannel and its designees to use your name, biographical information, image, likeness and/or statements about the Referral Program in accordance with the ServiceChannel privacy policy (set forth below) for advertising, trade, promotional and other purposes, in any manner, in any and all media now or hereafter devised, worldwide, in perpetuity, without additional compensation, notification or permission, unless prohibited by law. Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Rules, or the rights and obligations of the participant and ServiceChannel in connection with the Referral Program, shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules (whether of the State of California or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of California.

ServiceChannel Marks
You acknowledge that ServiceChannel names, logos, trademarks, service marks and other intellectual property (and the names of certain products and packages that are provided by ServiceChannel—collectively, “ServiceChannel Marks”) are the exclusive property of ServiceChannel and that you do not have any proprietary rights therein. You may only use and display ServiceChannel Marks to the extent specifically designated or authorized in advance in writing by ServiceChannel. Any marketing materials, communications, or displays produced by you shall: (1) be produced at your sole cost and expense; (2) comport with reasonable standards of good taste; (3) comply with ServiceChannel then-current marketing and legal compliance guidelines and rules, which may be updated from time to time; and (4) comply with applicable laws. The permissions to ServiceChannel Marks are revocable by ServiceChannel at any time in ServiceChannel’s sole discretion upon thirty (30) days' notice and immediately without opportunity to cure if, in our sole discretion, you infringe or improperly use or publish any of our Marks. For avoidance of doubt, all applicable federal, state and local laws and regulations apply.

Disclaimer of Warranties
SERVICECHANNEL MAKES NO EXPRESS OR IMPLIED WARRANTIES OR REPRESENTATIONS WITH RESPECT TO ANY SERVICES OR PRODUCTS CONTEMPLATED BY THIS AGREEMENT. SERVICECHANNEL DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING, WITHOUT LIMITATION, FITNESS FOR A PARTICULAR PURPOSE, NONINFRINGEMENT, TITLE AND MERCHANTABILITY.

LIMITATION OF LIABILITY
NEITHER SERVICECHANNEL, NOR ITS AFFILIATES, SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, OR ANY LOSS OF REVENUE, EVEN IF SERVICECHANNEL HAS BEEN INFORMED IN ADVANCE OF SUCH DAMAGES OR SUCH DAMAGES COULD HAVE REASONABLY BEEN FORESEEN BY SERVICECHANNEL. THE PARTIES ACKNOWLEDGE AND ACCEPT THE REASONABLENESS OF THE DISCLAIMERS AND LIMITATIONS OF LIABILITY SET FORTH IN THIS PROVISION.

Personal Information
Your personal information collected in connection with this Program will be used in accordance with the ServiceChannel Privacy Policy.

By participating in the Referral Program, you agree, affirm, and represent that you have read and understand these Rules. In addition, you affirm, represent and warrant that you have complied with all the Rules (including that you are not prohibited by any policy of your employer to participate in this Referral Program), as well as ServiceChannel Terms of Service (as applicable), and have not committed any fraud or deception in entering the Referral Program.
